1. Acceptance of Terms

By accessing or using this website or any services provided by Jade Rabbit Digital ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use this website or engage our services.

2. Services

Jade Rabbit Digital provides digital marketing services for restaurants, food brands, and food-system businesses, including but not limited to strategy, social media management, web design, SEO, PPC advertising, content creation, media buying, influencer marketing, email marketing, and blog strategy.

The specific scope, deliverables, pricing, and timeline for any engagement are defined in a separate written proposal or service agreement. These Terms apply to all engagements in addition to any terms set out in a project agreement.

3. Acceptable Use

You agree to use this website and our services only for lawful purposes and in accordance with these Terms. You must not:

• Use this website to transmit any content that is unlawful, defamatory, obscene, or infringing of third-party rights.
• Attempt to gain unauthorized access to any part of this website or our infrastructure.
• Use automated tools or scripts to scrape or extract content from this website.
• Introduce malware, viruses, or malicious code into this website.

4. Client Engagements

4.1 Proposals and Agreements

All client engagements are governed by a written proposal or service agreement. Work does not begin until a proposal has been accepted in writing or a service agreement is signed. Verbal instructions do not constitute a binding change to an agreed scope.

4.2 Payment Terms

Payment terms are set out in each project proposal or service agreement. Unless otherwise agreed in writing, a deposit of 50% of the project fee is due at engagement start and the balance is due upon delivery of the final scope. Monthly retainers are invoiced in advance at the start of each billing period.

Overdue invoices bear interest at 1.5% per month from the due date until paid. We reserve the right to pause active work on accounts with invoices more than 30 days overdue.

4.3 Cancellation

Either party may terminate a project or retainer engagement with 30 days written notice. Work completed and expenses incurred up to the notice date are billable. Deposits paid for project work are non-refundable once work has commenced.

5. Intellectual Property

5.1 Client Content

You retain all ownership rights to content, data, brand assets, and materials you provide to us. You grant us a limited license to use your materials as necessary to provide the agreed services.

5.2 Deliverables

Custom deliverables created specifically for your engagement (including copy, creative assets, and configured campaigns) transfer to you upon receipt of final payment for those deliverables, unless otherwise specified in a project agreement.

5.3 Our Materials

Methodologies, templates, frameworks, tools, and processes we use in delivering services remain our property. You receive a license to use outputs created for your engagement, not ownership of our underlying methods.

6. Confidentiality

Both parties agree to keep confidential any non-public information shared in the course of an engagement, including business strategy, financial information, client lists, and proprietary processes. This obligation survives the termination of any engagement.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Jade Rabbit Digital shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to our services or this website, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising out of an engagement shall not exceed the total fees paid for that specific engagement in the 12 months preceding the claim.

Marketing results depend on many factors outside our control, including platform algorithms, competitive dynamics, and market conditions. We do not guarantee specific outcomes from any marketing program.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict of law principles. Any dispute arising out of these Terms shall be resolved in Vancouver, British Columbia.

9. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last reviewed" date at the top of this page. Your continued use of this website after the effective date of updated Terms constitutes acceptance of those Terms.
